These Terms & Conditions ("Terms") govern your access to and use of the Fox AssetPro website, applications, and related services (collectively, the "Services") operated by Fox AssetPro, LLC ("Fox AssetPro," "we," "us," or "our"). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Acceptance of Terms
By creating an account, accessing, or using Fox AssetPro, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
We reserve the right to update or modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
2. Description of Service
Fox AssetPro is a software-as-a-service platform designed for private real estate investors. The Services may include:
- Real estate portfolio tracking and management;
- Financial analytics, projections, and reporting;
- AI-powered insights, health scores, and recommendations;
- Property performance monitoring and benchmarking;
- Debt and equity tracking;
- Document storage and organization; and
- Other tools and features as may be offered from time to time.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
3. Account Responsibilities
To use certain features of the Services, you must create an account. When creating and maintaining your account, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information as needed;
- Keep your password and login credentials secure and confidential;
- Notify us immediately of any unauthorized access to or use of your account; and
- Accept responsibility for all activities that occur under your account.
You are solely responsible for maintaining the confidentiality of your account credentials. Fox AssetPro is not liable for any loss or damage arising from your failure to protect your account information.
4. Financial Disclaimer
Fox AssetPro is not a financial advisor, fiduciary, registered investment advisor, broker-dealer, tax advisor, legal advisor, appraiser, or licensed professional of any kind.
All projections, estimates, forecasts, AI-generated insights, health scores, analytics, valuations, return calculations, and other information provided through the Services are for informational purposes only and should not be relied upon as the basis for any investment, financial, tax, legal, or other professional decision.
The information and outputs provided by Fox AssetPro do not constitute investment advice, financial advice, tax advice, legal advice, or any other form of professional advice or recommendation. No fiduciary relationship is created between you and Fox AssetPro by your use of the Services.
You should always consult with qualified financial advisors, tax professionals, attorneys, appraisers, and other licensed professionals before making investment decisions or taking action based on information presented in the Services.
Fox AssetPro expressly disclaims any and all liability for financial losses, investment losses, tax liabilities, or other damages arising from or related to decisions made based on data, projections, analytics, recommendations, health scores, AI-generated insights, or any other information displayed, calculated, or provided through the Services.
Past performance information, projections, and estimates shown in the Services are not guarantees of future results.
5. Data Accuracy
Fox AssetPro relies on data that you provide, as well as data obtained from third-party sources, to generate analytics, projections, reports, and other outputs.
We do not independently verify the accuracy, completeness, or timeliness of user-provided or third-party data. You are solely responsible for the accuracy of the information you enter into the Services.
Fox AssetPro makes no representations or warranties regarding the accuracy, reliability, completeness, or currency of any data, calculations, projections, or outputs generated by the Services. Errors in input data may result in inaccurate outputs, and we are not responsible for any consequences arising from such inaccuracies.
6. AI Disclaimer
Fox AssetPro may incorporate artificial intelligence and machine-learning technologies to provide automated insights, analysis, recommendations, explanations, and other features.
AI-generated content is produced by automated systems and may contain errors, inaccuracies, incomplete information, or outdated analysis. AI outputs should not be treated as professional advice or as a substitute for independent analysis and professional judgment.
You acknowledge that AI-generated insights are experimental in nature and that Fox AssetPro does not guarantee the accuracy, reliability, or completeness of any AI-generated content. You should independently verify any AI-generated information before relying on it.
7. Intellectual Property
The Services, including all content, features, functionality, software, code, design, text, graphics, logos, trademarks, and other materials (collectively, "Fox AssetPro Content"), are owned by or licensed to Fox AssetPro and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works based on any Fox AssetPro Content without our prior written consent.
You retain ownership of the data and content you upload or input into the Services. By using the Services, you grant Fox AssetPro a limited, non-exclusive license to use your data solely as necessary to provide and improve the Services.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Fox AssetPro, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Fox AssetPro has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, Fox AssetPro's total cumulative liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the amounts you have paid to Fox AssetPro in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Fox AssetPro, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Services;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any third-party rights, including intellectual property rights;
- Any content or data you provide to the Services; or
- Any decisions or actions taken based on information obtained through the Services.
10. Termination
We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including but not limited to situations where:
- You violate these Terms or any applicable laws;
- Your use of the Services poses a security risk or may cause harm to Fox AssetPro, other users, or third parties;
- Your account has been inactive for an extended period; or
- We are required to do so by law or regulation.
You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to access and use the Services will cease immediately.
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to the Financial Disclaimer, Limitation of Liability, Indemnification, and Governing Law provisions.
11. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page.
If we make material changes, we may provide additional notice through the Services, by email, or through other appropriate means. Your continued use of the Services after any modifications to these Terms constitutes acceptance of the revised Terms.
It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you should discontinue your use of the Services.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.
